Specific Contract Terms shall supersede these general terms.

Exclusivity Agreement

Anna Lotan PRO products are exclusively distributed to licensed professionals. To protect the exclusive status provided to our Anna Lotan PRO members, we invest tremendous efforts into preventing our products from reaching online diversion. Selling Anna Lotan PRO products online is strictly prohibited, with the exception of beauty salons that are registered Anna Lotan PRO clients and whose e-commerce platforms are only accessible by registered users, preventing the public from ordering online or accessing price information.

Therefore, by creating an Anna Lotan PRO account, you consent to this exclusivity agreement consisting of the following conditions:

• You carry a valid Esthetic or Cosmetology license. (Nurses and MD’s who are offering professional skin care services are allowed to register)
• You will under no condition disclose, distribute, or promote any of the prices of Anna Lotan PRO products to any other parties.
• You will under no condition share prices of Anna Lotan PRO products online to the open public.
• You will view product prices and catalogs, and place online orders only by logging into your Anna Lotan PRO account as a registered member.
• You agree to keep all information confidential, and not to provide the public with any information not previously released by Anna Lotan PRO as public.
• You agree to only sell Anna Lotan PRO products online if the price information and online ordering functionality are gated and accessible only by your registered users.
• You agree to purchase Anna Lotan PRO products with the consideration of the terms and conditions outlined in this exclusivity agreement.
• You agree that any breach of this agreement will result in the termination of your Anna Lotan PRO membership.

Referral program terms & conditions

Anna Lotan USA Inc. (“Anna Lotan PRO”, “Anna Lotan” or “We”) offers brand supporters (“Referrer” or “You”) the opportunity to participate in its referral program (the “Referral Program”). We reserve the right to amend or terminate the Program at any time, for any reason. The Program is administered by Anna Lotan PRO.

By participating in the Referral Program, Referrers are bound by these Terms and Conditions. By participating in the Referral Program, Referrers agree to use the Referral Program in the manner specified in these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to register as a Referrer or to participate in the Referral Program in any other manner. Referrers may not participate in the Referral Program where doing so would be prohibited by any applicable law or regulations.

We reserve the right to modify or amend at any time these Terms and Conditions and/or the methods through which Credits (“Credit”) are earned. We reserve the right to disqualify any Referrers from participation in the Referral Program at any time at our sole discretion, including without limitation if he/she does not comply with any of these Terms and Conditions or otherwise fails to comply with any applicable laws (including, without limitation, through any failure to include any disclosures as required by the Federal Trade Commission or otherwise required by Anna Lotan PRO).

I. How the Referral program works

• To participate in the Referral Program, You must be an existing Partner or register to Anna Lotan PRO’s Partner Program. No previous purchase is required. Once You become a Partner, You should Register As An Affiliate through the user dashboards – We reserve the right to accept or reject any registration from participation in the Referral Program at our sole discretion
• Once your registration to our Referral Program is approved, you will receive a referral link. You can use to refer friends or colleagues who are licensed professionals to become an Anna Lotan partner (“Qualified Referral”). Referrers must respect the spirit of the Referral Program by only referring real individuals who meet the requirements of these Terms and Conditions. Referrers cannot refer themselves. If the friends or colleagues register with Anna Lotan PRO using any other method, the registration will not count as a Qualified Referral and the Referrer will not earn Credit;
• Referrer shall receive 20% Credit from the value of the orders the Qualified Referral made in the first 30 days of registering. Any additional or subsequent orders made by a Qualified Referral, after the first 30 days of registering, will not generate any Credits for the Referrer.
• Every time a Qualified Referral places an online order in the first 30 days of registering, the Referrer will be provided with a notification email.
• Every Qualified Referral will also receive a 20% discount on first order.
• Credits are subject to verification. Anna Lotan PRO may delay a Credit for the purposes of investigation. Anna Lotan PRO may also refuse to verify and process any transaction Anna Lotan PRO deems, in its sole discretion, to be fraudulent, suspicious, in violation of these Terms and Conditions, or believes will impose potential liability on Anna Lotan PRO, its subsidiaries, affiliates or any of their respective officers, directors, employees, representatives, and agents. All of Anna Lotan PRO’s decisions are final and binding, including decisions as to whether a Qualified Referral or Credit is verified.
• Once the Qualified Referral’s product purchases are verified and approved, the Referrer will receive the 20% Credit in their user dashboard. Credits can only be used for Anna Lotan PRO product purchases. Credits may not be redeemed for cash. Credits are not transferable and may not be auctioned, traded, bartered, or sold. Upon termination of the Partner Program or any portion thereof for any reason, any unredeemed Credits that have not yet been delivered to Referrer are forfeited.

II. Privacy policy Referral program

Referrers may participate in the Program made available by Anna Lotan PRO in order to refer their Friends (“Friend”) or colleagues to Anna Lotan PRO as potential new Anna Lotan PRO partners. To do this, Referrers must first become Partners, by submitting their Professional licensure information. This information will be collected, processed, and used in accordance with Anna Lotan PRO’s Privacy Statement, which can be found at https://www.annalotanusa.com/privacy-policy/. The professional information may also be used by Anna Lotan PRO to contact Referrers with regards to their participation in the Partner and Referral Programs and to send to Referrers additional communications from Anna Lotan PRO.

III. Liability Referral program

A. By participating in the Referral Program, Referrers agree to:
Be bound by these Terms and Conditions, the decisions of Anna Lotan PRO and its designees, and the Privacy Policy of Anna Lotan PRO;
Defend, indemnify, release and hold harmless Anna Lotan PRO, its affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys, and agents including, without limitation, their respective advertising, and promotion entities and any person or entity associated with the production, operation or administration of the Referral Program (collectively, the “Released Parties”), from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to Referrers’ participation in the Referral Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Referral Program or any Credit); and

B. Anna Lotan PRO shall not be liable for:
Late, lost, delayed, stolen, misdirected, incomplete, unreadable, inaccurate, unreliable, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission;
Telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors;
Data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials;
Any printing, typographical, administrative, or technological errors in any websites or materials associated with the referral program; or
Claims, demands, and damages in disputes among Referrers or between Referrers and Friends; or
Any other injuries, losses, or damages of any kind resulting from acceptance, possession, or use of a Credit, or from participation in the Referral Program, that were not reasonably foreseeable to Anna Lotan PRO at the relevant time.

C. Anna Lotan PRO disclaims any liability for damage to any computer system resulting from participating in, or accessing, or downloading information in connection with the Referral Program, and reserves the right, in its sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other cause beyond Anna Lotan PRO’s control corrupt the administration, security or proper operation of the Referral Program.

D. Anna Lotan PRO shall not be liable to any Referrer for failure to supply any Credits or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s), or request(s) by any governmental or quasigovernmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slowdown, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of the released parties’ control.

E. Anna Lotan PRO reserves the right to cancel or suspend the Referral Program should Anna Lotan PRO determine, in its sole discretion, that the administration, security, or fairness of the Referral Program has been compromised in any way.

General Statement of Acceptance of Agreement

You agree to the terms and conditions outlined in this Terms of Use Agreement for our website. This Agreement constitutes the entire and only agreement between us and you, and supersedes any other conditions, warranties, or representations, real or implied, with regard to this website and all content therein. This Agreement may be revised at any time without formal or informal notice.
